PAYMENT POLICY
This Payment Policy ("Payment Policy") governs the Payment Services, as defined in the C4E Terms, provided by C4E to you. Capitalized terms, including the term "C4E," that are not defined in this Payment Policy have the meanings attributed to them in the C4E END USER LICENSE AGREEMENT (EULA)
1. Essential Terms for Payment Services
"Lesson Fees" or "Package Fees" refer to the amounts due and payable by a student for confirmed lessons provided by a mentor. The mentor, not C4E, is solely responsible for establishing the Lesson Fees or Package Fees.
"Service Fees" denote the fees C4E charges the Mentor for utilizing C4E Services.
"Student Wallet" is an account established by a student to purchase Mentor Credits, which can be expended on the C4E Platform for Mentor Services rendered by Mentors and other services offered by or through the C4E Platform.
"Payment Method" describes a method or service available on the C4E Platform that allows a Student to purchase C4E Credits, such as credit cards, debit cards, PayPal, or Skrill.
"Mentor Wallet" means an account created by Mentors to receive payment for Mentor Services.
"Withdrawal Method" refers to a method or service available on the C4E Platform that enables a Mentor to obtain cash in exchange for C4E Credits, such as PayPal and other third-party payment providers.
2. Lesson Contract
When Mentor Services, time, and price are confirmed by both the Student and the Mentor, they shall be considered to have entered a contract under which the student agrees to purchase, and the Mentor agrees to deliver, the Mentor Services (the "Lesson Contract"). You agree not to incorporate any contractual provisions that conflict with the C4E Terms or other C4E Policies. Both the Student and Mentor covenant and agree to act in good faith and with fair dealing in the execution of the Lesson Contract. Additionally, the Student and Mentor acknowledge and agree that the value, reputation, and goodwill of the C4E Platform depend on their adherence to the aforementioned covenants and agreements. As such, the Student and Mentor agree that C4E has the right to take appropriate actions concerning the Lesson Contract, including but not limited to suspension, termination, or legal actions, as C4E, at its sole discretion, deems necessary to safeguard the value, reputation, and goodwill of the C4E Platform.
3. Financial Terms for Students
For Students, you must use C4E Credits to purchase Mentor Services from a Mentor. C4E provides each Student with a Student Wallet to hold the C4E Currency Credits.
3.1 No Refunds on Authorized Payments
Authorized payments are final. Refunds will not be provided.
3.2 Third-Party Payment Method Fees
The Payment Method you choose might be subject to supplementary terms and conditions. We advise reviewing these terms and conditions before employing a Payment Method.
3.3 Cancelled Lesson Requests
If a Lesson Request is annulled by the Student or rejected by the Mentor, both parties should reschedule within the permissible time frame).
3.4 Confirmation of Lessons
As a student, when you verify a Lesson's success, you acknowledge that the Mentor has entirely and satisfactorily completed the relevant Mentor Services. Consequently, you instruct C4E to transfer the applicable C4E Credits from your Student Wallet to the Mentor's Mentor Wallet.
3.5 Feedback and Ratings on Lessons
Upon confirming a Lesson's successful completion, you, as a student, may provide feedback and a rating for the Mentor. Submitting feedback or a rating is voluntary. However, if you choose to do so, you agree that your feedback must be authentic and truthful, and you will not engage in fraud, spam, defamation, harassment, threats, or any other misuse of the feedback system.
You agree to report any violations or abuses of our rating and feedback system by contacting Customer Service and to refrain from any actions that compromise the integrity of the feedback system.
4. Financial Terms for Mentors
Mentors shall invoice C4E monthly via their mentor portal.
4.1 Accepting Lesson Requests
Mentors assume responsibility for managing their schedules on the C4E Platform. When a student requests and confirms a session, the Mentor receives an email upon the student's confirmation of a lesson. You are accountable for synchronizing your calendar with the C4E Platform or adding the lesson date/time accordingly.
4.2 Cancellations of Lesson Requests
As a mentor, you acknowledge and consent that C4E, in its sole discretion, may cancel a confirmed Lesson Request in accordance with the C4E Terms and other C4E Policies. You further acknowledge and accept that neither C4E nor the relevant Student shall be held liable for such cancellations or refunds.
4.3 Commission Fees
C4E levies commission fees when a student confirms the successful completion of a Lesson. For each successfully completed Lesson, the commission constitutes 10% of the total cost of that Lesson ("Commission Fee"). The Commission Fee will be deducted upon the transfer of the C4E Total monthly invoice.
C4E will dispatch a monthly reminder containing a summary of the sessions, the session costs, and the total amount owed to the Mentor. The Mentor must submit an invoice to C4E for payment processing.
Amounts may be rounded up or down as detailed in the "Rounding Off" section below.
To the extent that any refunds are issued to a Student, no Commission Fees will be charged to the Mentor concerning C4E Credits refunded to the student.
4.4 No Circumvention of Commission Fees
Mentors shall refrain from engaging in any actions or activities designed to evade Commission Fees. Such actions or activities include but are not limited to: (i) proposing, soliciting, or accepting payment outside of the C4E Platform, or through means other than the Payment Services; or (ii) reporting or listing an inaccurate price for a Lesson on the C4E Platform, or charging a fee for a Lesson that differs from the amount agreed upon between Student and Mentor.
4.5 Rounding Off
C4E may, at its sole discretion, round up or round down amounts payable from or to Mentors or Students to the nearest whole functional base unit in which the currency is denominated (e.g., to the nearest dollar); for instance, C4E may round up an amount of $101.50 to $102.00 and may round down an amount of $101.49 to $101.00.
5. Lesson Packages
A Mentor may provide Students with the option to purchase multiple lessons within a single package (each such lesson package, a "Lesson Package"). Students are expected to complete all Lessons in a Lesson Package. If any remaining Lessons have not been completed on or before the Package Expiration Date, the Mentor will issue a reminder to the Student prior to the relevant Package Expiration Date. The Student may extend the Lesson Package through their Student C4E portal before the applicable Package Expiration Date; however, if the Student fails to do so, then all remaining Student Credits within the package will be deemed void.
6. Taxes
Mentors are solely responsible for determining their applicable tax obligations in relation to the income earned from their Mentor Services and are also solely responsible for remitting any required taxes to the appropriate tax authority. C4E is not in a position to provide tax-related advice to any Members.
Mentors are required to submit a W9 form to C4E.
7. C4E's Rights Regarding C4E Accounts and Funds
7.1 Security and Financial Fraud
For security purposes, C4E may impose transaction limits on all or some Students and Mentors concerning the value of any transaction or disbursement, the cumulative value of all transactions or disbursements over a specific period, or the number of transactions per day or another period. C4E will implement these limits before rendering any services if deemed necessary for security reasons or fraud prevention.
C4E retains the right to void C4E Credit purchases if such purchases are determined to be fraudulent. This includes C4E Credits redeemed from fraudulent C4E gift card purchases.
7.2 Reservation of Rights for Erroneous Transactions
C4E reserves the right to seek reimbursement from any Mentor or Student if C4E, in its sole discretion, determines that erroneous or duplicate transactions have occurred. C4E may obtain such reimbursement by deducting from future payments owed to the Mentor, reversing any C4E Credits in the Mentor's Mentor Wallet, or seeking reimbursement from the Mentor through any other lawful means.
7.3 Prohibition of Friendly Fraud
"Friendly Fraud" occurs when an individual initiates a fraud dispute with a payment provider, claiming their credit card (or another payment method) was not intended for use. Since C4E does not offer refunds, users who disagree with this policy may attempt to use Friendly Fraud to obtain a refund.
Such behavior is illegal and prohibited by all payment providers, and C4E strictly opposes Friendly Fraud. If Friendly Fraud is discovered, the Student's C4E Account and Student Wallet will be deactivated, purchased credits will be confiscated, and the student will be identified as a financial security risk.
In cases of genuine mistakes, C4E can reverse the transaction. Students are strongly advised to contact C4E Customer Service to resolve any financial disputes.
8. Prohibitions
In addition to adhering to the restrictions regarding the improper use of the C4E Platform as outlined in Section 11 (Restrictions) of the C4E Terms, you acknowledge and agree that you are solely responsible for complying with any applicable laws, rules, regulations, and tax obligations that may apply to your use of the Payment Services. Furthermore, you may not, and you agree that you will not:
- Violate any local, state, provincial, national, or other law or regulation, or any court order, such as money laundering and internet fraud or theft;
- Use the Payment Services for any commercial or other purposes that are not expressly permitted by this Payment Policy;
- Use the Payment Services to transmit, distribute, post, or submit any information regarding any other person or entity, including without limitation, personal contact information or credit, debit, calling card or account numbers, or photographs of others without their consent;
- Register any Payment Method or Withdrawal Method with your C4E account that is not yours or for which you lack authorization;
- Attempt to probe, scan, or test the vulnerability of any C4E system or network, or breach any security or authentication measures;
- Avoid, bypass, remove, deactivate, impair, descramble, or otherwise circumvent any technological measure implemented by C4E or any other third party (including another Member) to protect the Payment Services;
- Forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Payment Services to send altered, deceptive, or false source-identifying information;
- Attempt to decipher, decompile, disassemble, or reverse engineer any software used to provide the Payment Services;
- Use credit cards or other payment methods fraudulently;
- Advocate, encourage, or assist any third party in engaging in any of the foregoing actions.
C4E reserves the right to thoroughly investigate and prosecute violations of any of the above or the law. Additionally, as outlined in this Payment Policy, C4E may take various actions against you, including but not limited to limiting access to your C4E Account and any associated Payment Services, in response to a violation of this Payment Policy.
9. Mentor – Student Dispute
In the event of a disagreement between a Mentor and a Student, C4E encourages both parties to communicate directly and endeavor to resolve the disagreement amicably. If the Mentor and Student are unable to reach a resolution and request C4E's intervention, C4E may ask both parties to provide records of their communications regarding the dispute, which should contain all pertinent information, including time, date, and details of the communications. Although C4E will strive to assess the dispute impartially, C4E reserves the right to resolve the dispute at its sole discretion, and its decision shall be considered final. Consequently, C4E has the right, in its sole discretion:
- To transfer credits, issue a refund, or reverse a transaction.
- To determine which party shall bear the Commission Fee resulting from any such actions.
